Terms and Conditions for the use of the Alliance for Industry Decarbonization website

The Alliance for Industry Decarbonization (the “Alliance”) is a membership-based initiative set up to enhance dialogue and coordinated action among members of the Alliance towards raising aspiration for decarbonization, aligned with global and national decarbonization ambitions, including, but not limited to the stimulation of exchange of knowledge and best practices among practitioners. The International Renewable Energy Agency (IRENA), in its role as the Secretariat of the Alliance, facilitates the work of the Alliance, including the administration and management of the Alliance website.

The use of the Alliance website, located at http://www.allianceforindustrydecarbonization.org , including the Data Room, and the use of the content and/or documents contained therein, in whichever form displayed or presented, whether digital or printed, is governed by these terms and conditions.

By accessing and using the Website, including the Data Room, you acknowledge that you have fully read, understood and agree to be bound by the terms and conditions set out below.

1. Definitions

(i) “Confidential Content” means Content disclosed either by IRENA or any of the Registered Users in Data Room, which is designated as “confidential”, “proprietary” or some similar designation;

(ii) “Content” means any document, files, information or data to be made available by IRENA and/or Registered Users on the Website and/or Data Room;

(iii) “Data Room” is an online repository of information that is used for storing and distribution of Content. Access to Data Room will be limited only to Registered Users, who may view, upload, modify or edit any Content related to the work of the Working Group(s);

(iv) “Focal Points” means individuals designated as such and authorized by the members or eco-system knowledge partners (or knowledge partners) of the Alliance to represent their respective interests in the work of various Working Groups. Each member and knowledge partner may designate more than one Focal Point to represent their interests. Each member and knowledge partner of the Alliance shall be responsible for informing IRENA of such designations and of any replacements of the Focal Points as soon as reasonably possible.

(v) “Permitted Use” means specific activity(ies) and/or joint initiatives listed in the Implementation Plan of the Alliance and to be caried out by the members of the Alliance and knowledge partners in the relevant Working Group(s);

(vi) “Registered User(s)” means the Focal Points of members of the Alliance [1] and knowledge partners of the Alliance who have been registered by IRENA and provided access to the Content available in virtual Data Room. Depending on the context, Registered Users can also be referred to as Users;

(vii) “Representatives” means the directors, officers, employees, agents or representatives of IRENA or of a member and knowledge partner of the Alliance who have a need to know the Confidential Content in connection with the Permitted Use;

(viii) “User(s)” means any and/or all the institutions, organizations, entities, or companies accessing the Website and/or Data Room. Users may also be referred to as “you” in these terms and conditions;

(ix) “Working Group(s)” means a group that may be established on an ad-hoc basis to be engaged in any topic of relevance to the Alliance. A working group is defined by its scope, concrete objectives, required level of commitment in terms of resources, use of communication channels, governance and precise deliverables.

2. Acceptable Use

2.1 You agree that your access and use of this Website and/or the Data Room will be in compliance with the present terms and conditions and that you shall not, nor attempt to:

(i) take any action that causes, or may cause, damage to, or impairment of the performance, availability, accessibility, or security of the Website or that causes unreasonable inconvenience or offence or disruption to IRENA, or other Users;

(ii) use the Website and/or the Data Room in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;

(iii) upload or otherwise transmit any harmful material, through the Website and/or the Data Room, including but not limited to any information or software containing a virus, Trojan horse, worm, keystroke logger, rootkit or other damaging or destructive component, or link to such harmful material;

(iv) access or otherwise interact with the Website and/or the Data Room using any robot, spider or other automated means;

(v) reproduce, modify, adapt, merge, translate, disassemble, decompile, recompile or reverse engineer any software, source code, or other code or scripts forming part of the Website and/or the Data Room;

(vi) upload, store or otherwise transmit any inappropriate content through the Website and/or the Data Room, including but not limited to content unrelated to the Alliance, spam or undertake (or attempt to undertake) any fraudulent activities.

2.2 IRENA reserves the right, at its sole discretion and with or without prior notice, to: deny access to the Website and/or the Data Room or any portion thereof; move or remove any Content, in whole or in part, that it, in its sole discretion, decides is unacceptable, undesirable or in violation of these terms and conditions; or restrict access to and/or delete the account of any Registered User that breaches or is believed to have breached these terms and conditions or otherwise engages in any type of activity or purpose deemed by IRENA to be unlawful, improper or inappropriate.

2.3 For site security purposes, including to identify unauthorised access to the Website and/or the Data Room or any use thereof in breach of these terms and conditions, IRENA reserves the right, through the use of software programmes or otherwise, to monitor the use of the Website and/or the Data Room and to provide User information relating to suspected unlawful, improper or inappropriate conduct to the competent authorities.

3. Users’ Accounts and Access to the Data Room

3.1 As a part of the registration and account creation process necessary to obtain access to Data Room and the Content contained therein, IRENA will create individual accounts for each Focal Point of a member and a knowledge partner of the Alliance. Focal Point’s usernames will be associated with the Focal Point’s company/organization specific email address. Usernames and passwords will be communicated by IRENA to each Focal Point.

3.2 Focal Points prior to logging into their respective accounts will be prompted to acknowledge that they have fully read, understood and agree to be bound by these terms and conditions, following which they will be granted access to the Data Room containing Content necessary to facilitate their work in the Working Groups. Focal Points warrant and acknowledge that they have the authority to bind the entities that they represent to these terms and conditions.

3.3 By logging in to their respective accounts, Registered Users:

(i) expressly consent to IRENA’s use of their name and other personal information submitted for the purposes of their registration to the Data Room. The provided information will be used by IRENA only to facilitate the work of the Website and/or the Data Room;

(ii) shall ensure that the personal information provided as part of such registration and available under their account profile is and remains truthful and accurate. In case of any change in such information, Registered Users shall update the information registered in their account in a timely manner through the process set out in paragraph 3.6 below;

(iii) are responsible for maintaining the confidentiality of their username and password, shall not disclose such username and password to anyone for any unauthorised use, and agree to promptly notify IRENA if they become aware of any unauthorised use of their account;

(iv) understand that, while IRENA takes reasonable steps to safeguard the security of any information registered and Content shared by Registered Users in the Data Room, IRENA makes no warranty regarding the security of the functionalities on this Website and/or the Data Room;

(v) agree that they are solely responsible for any information shared with IRENA for the registration of their accounts or Content uploaded in the Data Room, for any use thereof, and for the security of their computer system;

(vi) understand that any information provided for such registration or that is otherwise collected about them through their use of the Data Room, is subject to the Privacy Policy set forth below;

(vii) shall use the Data Room and the Content made available therein solely for the purposes of Permitted Use;

(viii) acknowledge and agree that the Content (whether of confidential nature or not) will be made accessible to be used by other Registered Users and IRENA for purposes of the Permitted Use;

(ix) are solely responsible for conspicuously labelling or marking the Content as confidential at the time of uploading the Content to the Data Room should it be treated confidentially by IRENA or other Registered Users;

(x) shall keep in strict confidence all Confidential Content made available in the Data Room and shall not disclose or permit its Representatives to disclose such Confidential Content to any third party.

3.4 Notwithstanding paragraph 3.4 (x) above, the Registered Users or IRENA may disclose Confidential Content:

(i) to their respective Representatives;

(ii) when required by applicable laws and regulations and/or requests under legal process; in case of suspected unlawful, improper or inappropriate conduct for referral to appropriate authorities; to detect, prevent or otherwise address breach of these terms and conditions, or any related security or technical issues; to protect their property or rights; and/or to safeguard the interests of the Registered Users and/or IRENA Members;

(iii) with the prior written consent of the Registered User that uploaded the Confidential Content to the Data Room. Should the need arise to disclose the Confidential Content to a third party, the Registered Users may agree among themselves on the terms of the disclosure. Any arrangement (whether oral or written) on the disclosure of Confidential Content to third parties who have no access to the Data Room shall be agreed directly with the Registered User that uploaded the Confidential Content to the Data Room. IRENA shall not be made part of such arrangements nor be expected to facilitate the negotiation or conclusion of such arrangements among the concerned Registered Users.

3.5 Without limitation to the Privacy Policy set forth in section 10 below, personal information of Focal Points shared with IRENA for the registration of the accounts at the Website, including their name and the name of the company/organization that they represent, will be visible in the Data Room to all other Registered Users.

3.6 Registered Users/Focal Points may contact IRENA should they have any concerns regarding the use of the provided information or wish to modify the information provided under their profile or wish to de-register from the Data Room.

3.7 IRENA may deregister Registered Users from the Data Room and cancel their accounts at any time upon request from the Registered Users, which needs to be sent by an email to AFID@irena.org. Upon completion of the deregistration process, the Registered User’s account will be deleted, however IRENA may retain information provided by the Registered User on its own internal databases which shall not be accessible by other Registered Users Content shared by Registered Users prior to their accounts being deregistered can remain in the Data Room, unless otherwise requested by the deregistering User. If a deregistered User would like any information, including the Content uploaded in the Data Room, to be removed from IRENA’s internal databases and/or the Data Room, respectively, the deregistering User should request this through sending an email to AFID@irena.org.

4. Intellectual property rights

4.1 Users may freely access, copy, share, download, reproduce, print and/or view IRENA’s Content for non-commercial purposes, provided that appropriate attribution is given to IRENA. Use of IRENA’s name in the full or abbreviated form is allowed for attribution purposes, in accordance with this section and section 6 below. Use of IRENA’s logo in connection with such attribution is expressly prohibited without IRENA’s prior authorization. No other use of IRENA’s Content shall be made without IRENA’s written permission.

4.2 Unless otherwise specified in writing, any Content uploaded by a Registered User in the Data Room is subject to relevant proprietary rights owned by a member and knowledge partner of the Alliance. IRENA shall acquire no right, title or interest in such proprietary rights including intellectual property rights. Registered Users may freely access and use the Content uploaded by other Registered Users in the Data Room for Permitted Use only and subject to confidentiality obligations set out under paragraph 3.4 (x) above. No other use of the Content uploaded by the Registered Users shall be made without obtaining the permission of the Registered User who uploaded it.

Content on the Website attributed to third parties, other than Registered Users, may be subject to third-party copyright and separate terms and conditions and restrictions. No use of such Content shall be made unless in accordance with the terms and conditions, or after obtaining the permission, of the relevant third party.

5. Links

5.1 Subject to compliance with these terms and conditions, you may include in your website hyperlinks to the Alliance’s Website without having to seek specific permission provided that:

i. your website does not contain any inappropriate or unlawful content;

i. hyperlinks to the Website are not used for the promotion of any organisation, company, individual or other entity or any project, product or service; and

ii. hyperlinks to the Website are not used in a way to imply or suggest an unintended association or partnership with IRENA, and does not infringe any of IRENA’s or Users’ rights, including their intellectual property rights.

5.2 IRENA reserves the right to request the User to delete any hyperlink to the Website if it determines at its discretion that the User is not complying with the conditions stated in the paragraph above.

6. Use of IRENA’s name and logo

6.1 Unless expressly authorised in writing by IRENA, you shall not, in any manner whatsoever, use the name, or any abbreviation thereof, logo of IRENA, of the Alliance, or of other Registered Users contained in the Website and/or Data Room, in connection with your business or otherwise.

If you become aware of any such distribution or use either for commercial purposes or not of IRENA’s or the Alliance’s name, abbreviation thereof, of logo, by entities other than IRENA, you agree to notify IRENA immediately at: AFID@irena.org.

7. Warranties and Disclaimers

7.1 IRENA makes no warranties, express or implied, or representations as to the accuracy, reliability or completeness of the Content uploaded by Registered Users. IRENA shall not, under any circumstance, be held liable for any inaccuracy, misrepresentation, falsity or omissions either by error or deliberate in the Content provided by Registered Users.

7.2 The Content provided on and/or through use of the Website and/or Data Room is provided on an “as is” and “as available” basis. IRENA makes no warranty or undertaking, either express or implied, on its own behalf, its officials and employees in respect of, inter alia, the availability, accuracy, completeness, reliability, security, and fitness for a particular purpose or use of the Content, the identity of the Users, or regarding the non-infringement of third-party rights.

7.3 IRENA disclaims all responsibility and liability for any Content uploaded in the Data Room by Registered Users and for any transactions or agreements entered into by and among Registered Users through or as a result of the use of the Website and/or Data Room. IRENA , its officials and employees shall not, under any circumstances, be responsible or liable to Registered Users for any kind of loss, damage, liability or expense incurred or suffered, including all loss of profit, loss of use, loss of revenue, loss of contracts, increased costs and expenses and all special, indirect and consequential losses, which is claimed to result from access, or lack of access, to or use of the Website and/or Data Room, including the Content of confidential nature, or through links to third-party content, including from any infringement of third-party intellectual property or other rights.

7.4 IRENA does not warrant that access to the Website and/or Data Room will be uninterrupted, error-free, or free of viruses or other harmful components. You also understand that there are security, privacy and confidentiality risks inherent in using the Website and/or Data Room.

7.5 IRENA reserves its right to terminate, suspend, change, update or discontinue in any way, part or all of the Website and/or Data Room, including the availability of any features of the Website and/or Data Room, or to impose limits on certain features or restrict your access to parts of the Website and/or Data Room, at any time without notice or any liability. The Content may be out of date and IRENA makes no commitment to update it.

7.6 The Content provided by a Registered User does not represent the views of IRENA and/or of individual IRENA Members and/or other Registered Users. Such content or any other Content displayed in the Website and/or uploaded in Data Room by a Registered User does not represent any endorsement, preference or recommendation on the part of IRENA and/or other Registered Users.

7.7 The designations employed and the presentation of information made by IRENA on the Website do not imply the expression of any opinion on the part of IRENA concerning the legal status of any region, country, territory, city or area or of its authorities, or concerning the delimitation of its frontiers or boundaries.

8. Third party content and websites

8.1 The Website may incorporate third party content and may establish links to third party websites. Neither IRENA nor any of its officials, employees, or agents shall be liable to any User or anyone else for any inaccuracy, error, omission, deletion, defect, alteration or use of any such content featured on the Website, or for its timeliness or completeness.

8.2 IRENA is not responsible for the availability of any third-party websites or content accessed through the Website. IRENA does not endorse and shall not be held responsible or liable for any content, advertising, products or services on or available from such websites or content. The Website and its Content do not represent any endorsement, preference or recommendation in respect of any particular project, product or service provider.

9. Use of a logo and name of the Members of the Alliance

By logging in to their respective accounts, Registered Users authorize IRENA to use its name and logo in connection with communication materials such as newsletters, brochures, tweets concerning the activities related specifically to the Website and the activities of the Alliance. IRENA ensures the members of the Alliance that their logo and name will not be used for purposes unrelated to the Website and the activities of the Alliance or in any manner that a reasonable person would consider deceptive, or that could bring the logo or the name of the Member of the Alliance into disrepute.

10. Privacy policy

10.1 By accessing and using the Website, you understand that IRENA may collect:

i. Personal information to register and create access account on the Data room of the Website;

ii. Non-personally identifiable information that we may get from your access and use of the Website, including device-specific information such as your operating system version, log information such as your internet protocol address, location and time information, and any other similar information.

10.2 IRENA reserves its right to access and use the above-referred information collected through your use of the Website:

i. to provide, maintain, and improve the Website, to detect any breach of these terms and conditions, and to protect the website and IRENA, its officials, employees and licensors or contractors’ rights and interests;

ii. to understand how the Users use the Website and better identify the categories of Users of the Website and the services and technologies they use;

iii. to communicate with the Users, including to inform them about changes or improvements to the Website, to resolve any issue arising in the course of their use of the Website; and

iv. for statistical purposes.

10.3 In any of the above use and subject to paragraph 10.4 below, IRENA will make its best efforts to protect the confidentiality of the Users’ personal and of any other sensitive information.

10.4 IRENA reserves its right to disclose any of the above information when required by applicable laws and regulations and/or requests under legal process; in case of suspected unlawful, improper or inappropriate conduct for referral to appropriate authorities; to detect, prevent or otherwise address breach of these terms and conditions, or any related security or technical issues; to protect our property or rights; and to safeguard the interests of the Users and/or IRENA Members.

10.5 IRENA will ask for your consent before using information collected through your use of the Website for a purpose other than those set out in these terms and conditions.

10.6 IRENA assumes no responsibility for the privacy policies on any third-party websites.

11. Cookies Policy

11.1 A cookie is a small file of letters and numbers that is stored on your browser or the hard drive of your computer. Cookies contain information that is transferred to your computer’s hard drive.

11.2 The Website uses cookies to provide the required functionality of the Website by setting configuration data on the User machine through cookies, and provide Users with a good experience browsing and using the Website. These cookies are essential in order to enable you to navigate this Website and use certain features. These cookies are neither tracking cookies nor cookies that track personal behaviour or usage but are only required to provide the functionality of the web application.

11.3 You can block cookies by activating the setting on your browser that allows you to refuse the setting of all or some cookies.

12. Indemnification

Users shall indemnify, defend and hold IRENA, and other Users harmless from and against any liability, loss, claim, and expense, based upon or in connection with the acts or omissions of Users and, where applicable, Users’ employees, agents, contractors and other personnel, relating to their use of the Website and/or the Data Room, including, without limitation, any actual or alleged unauthorised use of the Website and/or the Data Room or other breach of these terms and conditions, or infringement of any patent, copyright, trademark or similar property right.

13. Settlement of Disputes

Any dispute, controversy or claim between the Users and IRENA arising out of or in connection with the use of the Website, which cannot be amicably settled within thirty (30) days after receipt by one party of the other party’s written request for such amicable settlement, shall be submitted to arbitration in accordance with the United Nations Commission on International Trade Law (UNCITRAL) arbitration rules as at present in force. There shall be a sole arbitrator. The language to be used during the arbitral proceedings shall be English. The decisions of the arbitral tribunal shall be based on general principles of international commercial law. The arbitral tribunal shall have no authority to award punitive damages, nor to award interest in excess of the London Inter-Bank Offered Rate (“LIBOR”) then prevailing, and any such interest shall be simple interest only. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such dispute, controversy or claim.

14. Privileges and Immunities

IRENA is an international organisation which is entitled to privileges and immunities under international and domestic law. None of the provisions of these terms and conditions shall be construed as constituting a waiver, express or implied, of IRENA’s privileges and immunities.

15. Modification of the Terms and Conditions

IRENA reserves the right to modify the present terms and conditions applicable to the use of the Website at any time. Such modifications, to the terms and conditions shall be effective immediately upon their posting on the Website. Any use of the Website after the publication of the new terms and conditions shall be deemed to constitute acceptance by you of the modifications.
